Eligibility

You must be at least 18 years old and able to enter a binding agreement to use this site. If you use the site on behalf of a company or another person, you represent that you have authority to bind them to these Terms.

Informational purpose

This site provides general information about Ten Twelve and its projects and services. Content may describe work that is planned, in progress, completed or no longer available, and project images, descriptions, scopes and availability may change without notice.

No professional relationship

Nothing on this site is a construction proposal, bid, estimate, or architectural, engineering, legal, financial or other professional advice, and nothing on this site creates a client, contractor, agency, fiduciary or other professional relationship. Any design, construction, procurement or owner-representation service is provided only under a separate written agreement signed by the relevant parties.

Intellectual property

The site and its content, including text, project photography, images, graphics, logos, layout and design, are owned by Ten Twelve or used with permission and are protected by intellectual property laws.

You may view the site and print or download pages for your own non-commercial reference. You may not copy, reproduce, republish, distribute, sell, license, modify or create derivative works from the site content, or use our names, logos or project photography, without our prior written permission. All rights not expressly granted are reserved.

Acceptable use

• Use the site only for lawful purposes and in compliance with these Terms.
• Do not attempt to gain unauthorized access to the site, its servers or any connected system.
• Do not interfere with, disrupt, overload or impair the site, or introduce viruses or harmful code.
• Do not scrape, harvest, crawl or systematically extract content or data, except as permitted by our robots.txt or with our written consent.
• Do not misrepresent your identity or affiliation, or use the site to send unlawful, misleading or harmful material.

Third-party links and services

This site may link to third-party websites and services, such as Instagram. Those services are governed by their own terms and privacy policies. Ten Twelve does not control and is not responsible for third-party content, products, practices or availability, and a link does not imply endorsement.

Information you send us

If you contact us through the site, by email or by telephone, you are responsible for the accuracy of the information you provide. We handle that information as described in the Privacy Policy.

Disclaimers

The site is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Ten Twelve disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the site will be uninterrupted, error-free, secure, or free of viruses or other harmful components, or that its content is accurate, complete or current.

Limitation of liability

To the fullest extent permitted by law, Ten Twelve and its officers, employees and agents will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenues, data or goodwill, arising out of or relating to your use of or inability to use the site, even if we have been advised of the possibility of such damages. To the extent permitted by law, our total liability for all claims relating to the site will not exceed one hundred US dollars (US$100). Some jurisdictions do not allow certain exclusions or limitations, so parts of this section may not apply to you. Nothing in these Terms limits liability that cannot lawfully be limited.

Indemnification

You agree to indemnify, defend and hold harmless Ten Twelve and its officers, employees and agents from and against claims, liabilities, damages, losses, costs and reasonable legal fees arising from your use of the site, your violation of these Terms, or your violation of the rights of a third party.

Governing law and venue

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law rules. Subject to any mandatory provisions of applicable law, you and Ten Twelve agree to the exclusive jurisdiction and venue of the state and federal courts located in Miami-Dade County, Florida, for any dispute arising out of or relating to these Terms or the site.

Changes and termination

We may update these Terms from time to time. The effective date at the top shows the latest revision, and your continued use of the site after an update means you accept the revised Terms. We may modify, suspend or discontinue all or part of the site at any time without notice.

General terms

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent, and we may assign them. These Terms and the Privacy Policy are the entire agreement between you and Ten Twelve about the site and replace any earlier understanding on that subject.
